Scope of Services:

Smart Crypto Solution will provide Blockchain Development Services – Cryptocurrency, NFT, Metaverse, marketing and coin listing services to Client.

1. Smart Crypto Solution will provide technical support, maintenance, and monitoring services for blockchain and crypto related projects.
2. Additional services, marketing, coin listing and market making services, and community building , may be provided as agreed upon between Smart Crypto Solution and Client.

Service Level Agreement (SLA):

1. Smart Crypto Solution agrees to maintain a high level of uptime for the crypto, blockchain development and other services, aiming for 99.9% availability, excluding scheduled maintenance.
2. In the event of service disruption or downtime, Smart Crypto Solution will make commercially reasonable efforts to restore services promptly.
3. Smart Crypto Solution will not be liable for any damages or losses incurred by Client due to service disruptions, unless caused by gross negligence or willful misconduct on the part of Smart Crypto Solution.

Client Responsibilities:

1. The client is responsible for providing information that is accurate and complete when it comes to account setup and management.
2. Client will ensure compliance with all applicable laws and regulations in using the services provided by Smart Crypto Solution.
3. Client will be responsible for the security and integrity of their data and applications during crypto and blockchain development process.
4. Client will promptly report any suspected security breaches or unauthorized access to Smart Crypto Solution.

Payment Terms:

1. Client agrees to pay the fees specified by Smart Crypto Solution for the services.
2. Fees are payable in advance on a monthly, quarterly, or annual basis, as agreed upon between Smart Crypto Solution and Client.
3. Late payments may result in service suspension or termination, at the discretion of Smart Crypto Solution.
4. All fees paid toSmart Crypto Solution are non-refundable, except as explicitly stated in a separate agreement between the parties.

Intellectual Property:

1. Smart Crypto Solution retains all ownership rights to its hardware, software, and intellectual property used to provide the services.
2. Client agrees not to modify, reverse engineer, or create derivative works based on Smart Crypto Solution’s intellectual property.

Confidentiality:

1. Both Smart Crypto Solution and Client agree to keep any confidential information exchanged during the course of the agreement confidential and not disclose it to third parties without prior written consent, except as required by law.

Termination:

1. Either party may terminate this agreement by providing written notice to the other party.
2. After this agreement is terminated, the Client is responsible for paying all fees that were past due up to the date of termination.
3. Smart Crypto Solution reserves the right to terminate or suspend services immediately if Client violates any terms of this agreement.

Limitation of Liability:

1. Smart Crypto Solution’s liability for any direct damages arising from the services provided under this agreement will be limited to the fees paid by Client for the affected services during the three months preceding the event giving rise to the claim.
2. Smart Crypto Solution will not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

Governing Law and Jurisdiction:

This Agreement will be interpreted according to the laws and will be subjected to the jurisdiction of those laws. In the event that a dispute occurs as a result of or in connection with this Agreement, it shall be submitted to the sole and exclusive jurisdiction of the courts. 

Entire Agreement:

This Agreement constitutes the entire understanding between Smart Crypto Solution and Client regarding the subject matter herein and supersedes all prior discussions, negotiations, and agreements.

By signing up for or using the services provided by Smart Crypto Solution, Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
